LAUNCH: MARKET TALKS

The Center for Studies in Financial and Capital Markets (MFCap) of FGV Direito SP will hold a series of events (webinars) to discuss relevant topics of financial regulation in Brazil.

For organizational purposes, the discussions will be divided into two sets: the Capital Market Talks series, led by Profª. Viviane Muller Prado, will deal with issues related to the securities market; and the Financial Market Talks series, coordinated by Prof. Bruno Meyerhof Salama, will deal with issues relating to financial markets.

The objective is to promote debates and enable critical and qualified analyzes on contemporary and important challenges for the development of the Brazilian market.

In this first event of the Capital Market Talks series in 2022, the theme of the debate will be enforcement in the Brazilian capital market in 2021. The idea of the event is to present and discuss the report "Beyond CVM numbers: enforcement in the Brazilian capital market – 2021", prepared by the Center for Studies in Financial and Capital Markets at FGV Direito SP (MFCap), which, in summary, presents analyzes and organizes data related to the sanctioning activity of the Securities and Exchange Commission (CVM) in the year 2021. This is a research effort by the relevant Nucleus to understand and evaluate the effectiveness of the legal regime that governs the behavior of capital market agents. The proposal to discuss the overview of sanctioning activity, based on numbers, serves as a starting point for this assessment.

The survey, which has been carried out annually by MFCap since 2019, aims to identify trends over time and their relationship with CVM's legal mandate, which includes ensuring the efficient and regular functioning of the market, protecting investors against irregular issues, illegal acts by administrators, use of privileged information and the occurrence of market abuse modalities, under the terms of art. 4th. of Law No. 6.385/1976.

In this first event of the series, the debate will be on PLURAL VOTING, with a look at the legal regime of Law nº 14.194/2021. What are the reasons for allowing yet another form of concentration of power in Brazilian companies? Would the adoption of plural voting bring more IPOs to the national stock market? What are the pros and cons of accepting companies with plural voting? Are the limits on the design of the plural vote determined in Law 14,194/2021 adequate, for example, the time of its existence, maximum percentage of issuance of this type of share, voting restrictions on certain matters?

These and other issues will be discussed during the event by the MFCap coordinators, Ary Oswaldo Mattos Filho e Viviane Muller Prado, and invited experts.

In this event of the series, the debate will be on the EROSION OF BORDERS BETWEEN FINANCIAL AND NON-FINANCIAL AGENTS.

Recent developments in information technology and data processing are reshaping the way in which financial services are offered, transforming the boundaries that traditionally separated regulated financial institutions from commercial companies that operate in the market. Does separation for regulatory purposes between commercial companies and financial institutions still make sense? Should regulation focus on specific activities or companies? What are the regulatory challenges?

These and other issues will be discussed during the event, moderated by Prof. Bruno Meyerhof Salama, and invited experts.

In this event of the series, the debate will be on "BANKING REGULATION BETWEEN INCUMBENTS AND ENTRANTS".

How does the entry of new players – fintechs, bigtechs and others – affect regulation in the banking sector? Competition is healthy in principle, but can it affect the resilience of the system? Is there a risk of regulatory arbitrage? How to define the regulation perimeter? 

These and other issues will be discussed during the event, moderated by Prof. Bruno Meyerhof Salama, and invited experts.
